The agreement every rider accepts in the ViTViT client app before first use — rides, deliveries and store orders in the Republic of Haiti. ViTViT connects people; it does not transport them.

1. Acceptance of these Terms

1.1 These Terms of Service (the “Terms”) are a binding contract between you and [Legal name of the ViTViT operating company], a company organized under the laws of the Republic of Haiti, with registered office at [registered address], which operates the ViTViT platform (“ViTViT”, “we”, “us”). The ViTViT technology is provided under licence by Sprint Agility Pty Ltd; ViTViT is operated in Haiti by the company named above.

1.2 You must read and accept these Terms before you can use the ViTViT app (the client app). You accept them by tapping “I accept” (or an equivalent button) when the app presents them. You also accept them — and any later version — each time you use the platform. If you do not accept them in full, do not create an account and do not use the platform.

1.3 These Terms incorporate the ViTViT Privacy Policy, the community and safety rules published in the app or at govitvit.com, and any pricing, cancellation or fee information shown in the app at the time of a booking or order. Together they are the “Agreement”.

1.4 Please read the articles on the intermediary role, assumption of risk, disclaimers, limitation of liability, indemnity and disputes carefully. They limit ViTViT's responsibility to you and affect your legal rights.

2. ViTViT is a technology intermediary only

2.1 ViTViT provides a technology platform that connects people. ViTViT does not provide transport, delivery or retail services, is not a transport company, carrier, courier, taxi operator, restaurant or shop, and does not own or operate any vehicle. Drivers are independent third parties; Stores are independent businesses. None of them is an employee, agent, partner or representative of ViTViT.

2.2 When you take a ride, the transport contract is formed directly between you and the Driver. When you order from a Store, the sale contract is formed directly between you and the Store.

2.3 ViTViT's role is limited to: operating the apps, matching requests with available users, displaying prices, recording trips and orders, offering safety tools, and running a support channel. ViTViT does not control, direct or supervise how Drivers, Stores and other users behave or perform, and does not guarantee their conduct, identity, skill, honesty, solvency, availability or the quality, safety or legality of what they provide.

2.4 Any verification, rating or review ViTViT carries out is a limited, voluntary step to help the marketplace. It is not a guarantee, an endorsement or a promise that any user is safe, qualified or trustworthy, and you must never rely on it as one.

3. What ViTViT answers for

3.1 ViTViT connects Riders, Drivers, Stores and Agents through its technology and is responsible only for the operation of the ViTViT system itself. ViTViT will sanction bad behaviour on its platform — warnings, suspensions, deactivation and reports to the authorities — but it declines all responsibility for anything outside its control, including the conduct of users and agents, cash handed between people, accidents, crime and events on the road or at any place a user goes.

4. Who may use the client app

4.1 You must be at least eighteen (18) years old to open an account and to accept these Terms. By accepting them you confirm that you are 18 or older and legally able to enter into a contract.

4.2 Minors. A person under 18 may ride only when accompanied by a responsible adult, and never alone. The adult who books or accompanies the trip is solely and fully responsible for the minor's safety, supervision, conduct and any damage the minor causes. ViTViT and Drivers are not responsible for supervising minors, and a Driver may refuse any trip with an unaccompanied minor.

4.3 Where the app requires a child seat, helmet or other equipment for a passenger, it is the Rider's responsibility to provide it unless the service expressly includes it.

5. Your account and its security

5.1 You must register with your real name and a working mobile number that you control, and keep your information accurate. One person or business, one account; accounts may not be sold, rented, shared or transferred.

5.2 You are responsible for everything done through your account. Keep your phone, PIN and one-time codes (OTP) secret. ViTViT staff will never ask for your PIN or OTP. Report any suspected misuse immediately to support@govitvit.com or +509 3131 3015. ViTViT is not liable for losses caused by anyone using your phone, PIN, OTP or account.

5.3 ViTViT may ask you to verify your identity at any time (for example by providing your CIN) and may limit or suspend your account until you do. Riders who provide false information are in serious breach of these Terms.

6. Bookings, prices and payment

6.1 The price is shown in the app before you confirm a booking. It is made up of the fare for the service (set by service type, distance, time, city and demand) and a platform fee (HTG 30 for rides; for store and food orders, the service fee shown in the app). All prices are in Haitian gourdes (HTG). Where the app lets you propose or negotiate a fare with a Driver, the price accepted in the app is the final price.

6.2 The price may change only if the trip changes at your request (for example a new destination or an extra stop) or as the app otherwise shows before you confirm. You must never pay more than the total shown in the app, and never pay anyone other than your assigned Driver or Store.

6.3 Payment. ViTViT currently works in cash — you pay the Driver the exact total shown in the app at the end of the trip or on delivery — and with ViTViT jetons in your bous where the app offers it. Jetons are not money; Article 8 explains how they work. Other methods (such as MonCash or NatCash) apply only when and where the app offers them. Credit cards are not accepted.

6.4 Amounts you owe. Unpaid fares, cancellation fees and other amounts you owe are recorded as a balance on your account. ViTViT may take them from the jetons in your bous, add them to your next booking, block new bookings until they are paid, and recover them by any lawful means.

6.5 Tips are voluntary and go entirely to the Driver. ViTViT takes no commission on tips.

6.6 If you believe you were charged incorrectly, contact support within seven (7) days of the trip or order. After that period, the charge is final.

7. ViTViT as limited payment collection agent

7.1 When a payment is made through the platform (for example with ViTViT jetons or by mobile money, when offered), ViTViT receives it only as the Driver's limited payment collection agent. Payment to ViTViT in this way is treated as payment made directly to the Driver. ViTViT is not a bank or a money-transfer business and is not liable for errors, delays, fees or failures of any bank, agent or mobile-money provider. This Article does not apply to the platform fee or to cancellation fees, which ViTViT receives for its own account.

8. ViTViT jetons — tokens, not money

8.1 What a jeton is. Money you hand over to add value to your account — through an authorised ViTViT agent, at a ViTViT office or in any other way the app offers — is converted into ViTViT jetons (tokens). A jeton is a digital usage token: it records that ViTViT has been paid for access to its system and that your account is eligible to use ViTViT services. Jetons are not money, not a bank deposit and not electronic money, and they earn no interest.

8.2 How they can be used. Jetons can be used only inside ViTViT, only by the account that holds them, for the services, fees, commissions and amounts owed shown in the app.

8.3 Not transferable, not refundable, not withdrawable. Jetons cannot be transferred, sold, given, lent, exchanged or converted into cash, cannot be withdrawn, and are not refundable, except as point 5 of this Article provides.

8.4 An account holding jetons or money cannot be deleted by you. While your account holds any jetons, earnings or any other money, the app will refuse to delete it and will ask you to use it up first. You may also ask ViTViT, in the app, to approve the deletion. To close an account that still holds jetons, call ViTViT support on +509 3131 3015: closing it then requires approval in ViTViT's administration system.

8.5 Reimbursement — office only. Jetons worth HTG 1,000 or less are never refunded: you must use them up. Where the jetons you purchased exceed HTG 1,000 when ViTViT approves the closure of your account, ViTViT may, at its sole discretion and only through its office, approve a reimbursement of all or part of those purchased jetons, after verifying your identity in person and deducting everything you owe. Bonus, promotional and agent-bonus jetons are never reimbursed. Jetons left on a closed account that are not reimbursed are forfeited.

8.6 Corrections. ViTViT may cancel or correct jetons obtained by fraud, error, reversal, a top-up the account holder did not confirm, or any breach of these Terms.

8.7 Breach. If you breach these Terms, ViTViT may suspend or close your account, or end its agreement with you, immediately, without your consent and without prior notice, as Article 23 provides. Jetons on an account closed for breach are forfeited.

9. Cancellations and no-shows

9.1 You may cancel a ride request free of charge before a Driver has accepted it.

9.2 Cancellation fee — HTG 75. If you cancel a ride after a Driver has accepted it on the ViTViT app, but before the Driver has picked you up, you will be charged a fixed cancellation fee of seventy-five Haitian gourdes (HTG 75). The app shows this fee before you confirm the cancellation.

9.3 The fee is not charged where the app shows the cancellation as free at the moment you cancel — for example during the short grace period immediately after acceptance shown in the app, when the Driver is significantly later than the arrival time the app gave you, when the Driver or ViTViT cancels the trip, or when you have pressed SOS.

9.4 No-show. If, after the Driver arrives at the pickup point, you do not show up within the waiting time shown in the app, the Driver may cancel the trip and it is treated as a cancellation by you, and the HTG 75 fee applies.

9.5 The cancellation fee is charged by ViTViT for its own account and belongs entirely to ViTViT; no part of it is paid to the Driver. It covers the cost of dispatching and reserving a Driver for you. When the jetons in your bous cover the whole fee, it is taken from them; otherwise it is added to your account balance and collected with your next booking, in accordance with Article 6. The app tells you which applies before you confirm the cancellation.

9.6 Repeated cancellations or no-shows may lead ViTViT to pause your ability to book, require identity verification (for example your CIN), or suspend your account.

9.7 Store and food orders may be cancelled free of charge in the app only until the Store starts preparing them. Once preparation has started, the order can no longer be cancelled; refusing or abandoning a prepared order is a breach of these Terms, and ViTViT may charge you the amounts shown in the app and restrict your account.

10. Your conduct and prohibited items

10.1 You must treat Drivers, Stores, other passengers and ViTViT staff with respect and obey the law. You must not, and must not allow anyone travelling with you to:

  • carry any firearm, ammunition, knife or other weapon — even with a permit — or any explosive, flammable or dangerous substance;
  • carry or send drugs, stolen goods, counterfeit goods, large amounts of cash, or anything illegal;
  • consume alcohol or drugs, or smoke, in the vehicle;
  • use violence, threats, sexual behaviour, harassment, discrimination or abusive language;
  • ask the Driver to break traffic law, overload the vehicle, carry extra passengers beyond capacity, or take a route or stop the Driver considers unsafe;
  • ride a moto (M-vit) without wearing the helmet provided, or refuse the Driver's safety instructions;
  • bring live animals without the Driver's agreement;
  • make fake bookings, manipulate prices, promotions or ratings, or arrange off-platform deals to avoid fees.

10.2 A Driver may refuse or end a trip at any time if you breach this Article or if the Driver reasonably considers the trip unsafe. Serious breaches lead to immediate and permanent deactivation, and ViTViT may report them to the police.

11. Damage, cleaning and lost items

11.1 You are responsible for any damage, soiling or loss you or anyone travelling with you causes to a vehicle or to any person. The Driver may claim repair or cleaning costs from you directly. ViTViT may, but is not obliged to, collect a documented damage or cleaning amount from you on the Driver's behalf, and may add it to your account balance.

11.2 Your belongings are your responsibility. ViTViT is not responsible for any item you leave in a vehicle or lose during a trip or delivery. You may use the in-app chat to contact the Driver about a lost item, but ViTViT does not guarantee that it will be found, kept or returned.

12. Packages (Koli), food (Manje) and store orders (Boutik)

12.1 Packages you send. You are responsible for the contents, legality, value and packaging of any package you send, and for giving an accurate description. You must not send any item listed in Article 10, perishable, fragile or high-value items, documents of value, cash or live animals. ViTViT is not a courier and accepts no liability for any loss, damage, theft, delay or mis-delivery of goods sent without you on board. Any claim about goods in transit lies against the Driver only.

12.2 Receiving. You must be available at the delivery point to receive and check your order. Once an order is handed to you, or to anyone at the delivery point who presents the delivery code, it is treated as delivered.

12.3 Store and food orders. Products are sold by the Store, not by ViTViT. The Store alone is responsible for their description, price, quality, freshness, safety, allergens, quantities and legality. ViTViT does not inspect or guarantee any product. You must check allergens and ingredients with the Store before ordering. Any refund or credit is at ViTViT's sole discretion and is not an admission of responsibility.

13. Security conditions and assumption of risk

13.1 You acknowledge that security conditions in Haiti can be dangerous and change quickly. Risks include, without limitation: armed violence, gang activity, kidnapping, robbery, carjacking, extortion, road blockades (“barikad”), demonstrations and civil unrest, poor road conditions, fuel shortages, flooding, hurricanes and earthquakes.

13.2 You use the platform voluntarily and entirely at your own risk. You alone decide whether, when, where and with whom to travel or trade. You knowingly accept all risks connected with travelling by motorcycle, car or van; road, traffic and vehicle accidents; the conduct of Drivers, other passengers, pedestrians and third parties; and the goods delivered to you.

13.3 ViTViT does not assess the safety of any route, neighbourhood, address, landmark or time of day, and a route suggested by the app is not a statement that it is safe. You are responsible for checking local conditions, following official advice, and refusing or ending any trip or order you consider unsafe.

13.4 ViTViT does not provide security, escorts, armed protection or police services, and has no ability to prevent crime or to intervene physically in any incident.

14. SOS and emergencies

14.1 The app includes an SOS button. When pressed, ViTViT records the event and your location, notifies the ViTViT operations team, and sends a message with a live-location link to the emergency contacts you have registered in the app.

14.2 SOS does not contact the police, an ambulance or any emergency service, and it is not an emergency service. In an emergency, call the police on 114 or the relevant emergency service directly. SOS depends on your phone, battery, GPS, mobile network, SMS delivery and third-party providers, any of which may fail, be delayed or be unavailable. ViTViT does not guarantee that an SOS alert will be sent, delivered, read or acted on, or that anyone will respond within any time.

14.3 Deliberate false or abusive SOS alerts are a serious breach of these Terms.

15. Third-party services

15.1 The platform relies on services ViTViT does not control — mobile networks, SMS and calling providers, maps and GPS, app stores, cloud hosting, and payment or mobile-money providers (such as MonCash or NatCash, when offered). ViTViT is not responsible for their availability, accuracy, fees, errors or security, and your use of them may be subject to their own terms.

15.2 Maps, routes, distances, arrival times and location pins are estimates and may be inaccurate.

16. Your data and privacy

16.1 ViTViT processes personal data as described in the Privacy Policy at govitvit.com/privacy, which forms part of these Terms. The app collects your location during bookings and trips so that Drivers can find you and trips can be tracked and made safer. Trip GPS history is kept for ninety (90) days and then deleted.

16.2 You consent to ViTViT storing and processing your data on servers located outside Haiti (currently in the United States), and to ViTViT disclosing trip, order, account and location records to police, courts or other competent authorities when ViTViT believes in good faith that the law requires it, or that it is needed to protect the safety of any person or the rights of ViTViT.

16.3 Calls between users go through masked numbers. You must use other users' personal data only to complete the active trip or order, never copy, keep or share it, and never contact another user off the platform for any other purpose.

16.4 You can delete your account in the app or at govitvit.com/delete-account, except while it still holds jetons or other money, as Article 8 explains. Questions: privacy@govitvit.com.

17. Disclaimer of warranties

17.1 The platform and all services are provided “as is” and “as available”, without any guarantee or warranty of any kind, express or implied, to the fullest extent permitted by Haitian law.

17.2 Without limitation, ViTViT does not guarantee: that the platform will be uninterrupted, timely, secure or error-free; that a Driver, Rider or Store will be available, accept a request or show up; the arrival time, route or duration of any trip or delivery; the quality, safety, legality, freshness, fitness or description of any goods; or that any earnings, sales or volume of work will be achieved.

17.3 ViTViT may change, suspend or discontinue any feature, service, city, vehicle category or payment method at any time, with or without notice.

18. Limitation of liability

18.1 To the maximum extent permitted by Haitian law, ViTViT, its shareholders, directors, officers, employees, agents, technology licensors and partners are not liable for any of the following, however caused:

  • death, bodily injury, illness, emotional distress or any harm to a person;
  • loss of, damage to or theft of any vehicle, goods, cash, phone, luggage or other property;
  • any accident, collision, crime, assault, robbery, kidnapping, extortion, harassment or other incident occurring before, during or after a ride, delivery or order;
  • any act, omission, negligence, fault, misrepresentation or crime of a Rider, Driver, Store, passenger or any third party;
  • lost earnings, lost profits, lost sales, lost business opportunities, lost data or any indirect, incidental, special, punitive or consequential loss;
  • delays, cancellations, failed pickups or deliveries, wrong addresses, or a user not showing up;
  • outages, errors, bugs, inaccurate maps or prices, failed SMS, OTP or SOS messages, or unauthorised access to your account or device;
  • events described in Article 22 (force majeure).

18.2 ViTViT's total liability to you for all claims together, of whatever nature, is limited to the greater of (a) the platform fee and service commission ViTViT actually received from the specific trip or order that gave rise to the claim, or (b) HTG 10,000. If more than one claim relates to the same event, this limit applies once, to all of them together.

18.3 Your remedy for the acts or omissions of another user lies only against that user (and their insurer), never against ViTViT. Drivers are responsible for the transport they provide and Stores for the goods they sell.

18.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Haitian law, such as liability for ViTViT's own fraud (dol) or gross fault (faute lourde). In that case ViTViT's liability is limited to the fullest extent the law allows, and every other part of this Article continues to apply in full.

19. Disputes with other users — release

19.1 Any dispute you have with a Driver, a Store or another user — including about an accident, injury, damage, loss, theft, payment, price, goods or behaviour — is solely between you and that person. You release ViTViT and the persons listed in Article 18 from all claims, demands and damages of every kind, known and unknown, arising out of or connected with such disputes.

19.2 ViTViT may, at its sole discretion, help users resolve a dispute — for example by sharing trip records with a competent authority on a lawful request — but it has no obligation to do so, and any help it gives is not an admission of responsibility.

20. Indemnity

20.1 You agree to defend, indemnify and hold harmless ViTViT and the persons listed in Article 18 from and against all claims, actions, losses, liabilities, fines, penalties, damages, costs and expenses (including reasonable lawyers' fees) arising out of or related to: your use of the platform; your breach of these Terms or of any law; any damage you cause to a vehicle, or to any person or property during a trip; any goods you send or receive; and any dispute between you and another user.

21. Time limit to bring a claim

21.1 Any complaint must first be reported to ViTViT support within seven (7) days of the trip, delivery or order concerned. To the extent permitted by Haitian law, any claim against ViTViT must be filed within six (6) months after the event giving rise to it; after that, the claim is permanently barred.

22. Force majeure

22.1 ViTViT is not liable for any failure or delay caused by events beyond its reasonable control, including: armed violence, gang activity, kidnapping, riots, road blockades, strikes, political unrest, states of emergency, government orders, war, terrorism, fire, floods, hurricanes, earthquakes, epidemics, fuel shortages, power cuts, and failures of mobile networks, internet, SMS, payment providers, hosting or app stores.

23. Suspension and termination

23.1 ViTViT may suspend, restrict or permanently deactivate your account, refuse any request, or end these Terms and any arrangement with you, at any time, with immediate effect, without your consent and without prior notice or compensation, where ViTViT believes, in its reasonable judgment, that you have breached these Terms or the law, endangered or may endanger any person, committed or attempted fraud, harmed ViTViT's reputation, or for any other legitimate business reason. During any investigation, ViTViT may hold amounts connected with the conduct under review.

23.2 You may stop using the platform at any time, and delete your account under the conditions of Article 8. Deleting your account does not cancel amounts you owe, and the articles that by their nature should survive (including those on liability, release, indemnity, disputes and amounts owed) continue to apply after termination.

23.3 ViTViT is not liable to riders or any third party for any suspension, deactivation or termination made in accordance with this Article.

24. Licence, intellectual property and app stores

24.1 ViTViT grants you a personal, revocable, non-exclusive, non-transferable licence to use the app on your own device only to use the platform as these Terms allow. The ViTViT name, logo, apps, website and content belong to ViTViT and its licensors. You must not copy, modify, reverse-engineer, scrape, resell or interfere with the platform, or use bots, fake GPS or other tools to manipulate it.

24.2 If you downloaded the app from the Apple App Store or Google Play, these Terms are between you and ViTViT only — not Apple or Google — who have no responsibility for the app, its content, maintenance, support or any claim relating to it. Apple and its subsidiaries are third-party beneficiaries of this Article and may enforce it. You must also comply with the app store's own terms.

25. Changes to these Terms

25.1 ViTViT may change these Terms at any time. Material changes will be announced in the app or at govitvit.com at least seven (7) days before they take effect (date shown DD/MM/YYYY), except where a change is required by law or for safety, which may take effect immediately. Continuing to use the platform after the effective date means you accept the new Terms. The app may require you to accept the new version before you can continue.

26. Governing law and dispute resolution

26.1 These Terms are governed by the laws of the Republic of Haiti.

26.2 Amicable resolution first. Before starting any proceeding, you must send a written complaint to support@govitvit.com describing the facts and what you are asking for, and allow ViTViT thirty (30) days to respond and try to resolve it.

26.3 Arbitration in Haiti. Any dispute not resolved amicably shall be finally settled by arbitration by a sole arbitrator under the rules of the Chambre de Conciliation et d'Arbitrage d'Haïti (CCAH) or, failing that, the arbitration provisions of the Haitian Code of Civil Procedure, seated in Les Cayes and conducted in French or Haitian Creole. For claims below HTG 100,000, ViTViT pays the administrative fees of the arbitration. The arbitrator may award only individual relief. Where arbitration is not permitted by law for a particular dispute, it falls to the exclusive jurisdiction of the competent courts of Les Cayes.

26.4 Individual claims only. To the extent permitted by law, every claim must be brought in your individual capacity, never as a plaintiff or member in any group, collective or representative action.

26.5 Nothing in this Article prevents ViTViT from seeking urgent protective measures (référé) from a competent court, or from recovering amounts owed to it.

27. General provisions

27.1 Language. These Terms were written in English and are published in English, French and Haitian Creole. The French and Haitian Creole versions are translations provided so every user can read the Terms in their language. If the versions differ, the English version prevails. The Privacy Policy has its own language clause, which applies to it.

27.2 Severability. If any provision is found invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions stay in full force.

27.3 Entire agreement; no waiver. These Terms are the entire agreement between you and ViTViT on their subject. ViTViT's failure or delay in enforcing a right is not a waiver of it.

27.4 Assignment. You may not transfer your rights or obligations. ViTViT may transfer these Terms, in whole or in part, to an affiliate, successor or acquirer without your consent.

27.5 Electronic communications and records. You agree to receive notices electronically (in the app, by SMS, e-mail or at govitvit.com). ViTViT's electronic records of trips, orders, payments, messages and your acceptance of these Terms are valid evidence.
