1. Acceptance of these Terms
1.1 These Terms of Service (the “Terms”) are a binding contract between you and [Legal name of the ViTViT operating company], a company organized under the laws of the Republic of Haiti, with registered office at [registered address], which operates the ViTViT platform (“ViTViT”, “we”, “us”). The ViTViT technology is provided under licence by Sprint Agility Pty Ltd; ViTViT is operated in Haiti by the company named above.
1.2 You must read and accept these Terms before you can use the ViTViT Chofè app. You accept them by tapping “I accept” (or an equivalent button) when the app presents them. You also accept them — and any later version — each time you use the platform. If you do not accept them in full, do not create an account and do not use the platform.
1.3 These Terms incorporate the ViTViT Privacy Policy, the community and safety rules published in the app or at govitvit.com, and any pricing, cancellation or fee information shown in the app at the time of a booking or order. Together they are the “Agreement”.
1.4 Please read the articles on the intermediary role, assumption of risk, disclaimers, limitation of liability, indemnity and disputes carefully. They limit ViTViT's responsibility to you and affect your legal rights.
2. ViTViT is a technology intermediary only
2.1 ViTViT provides a technology platform that connects people. ViTViT does not provide transport, delivery or retail services, is not a transport company, carrier, courier, taxi operator, restaurant or shop, and does not own or operate any vehicle. Drivers are independent third parties; Stores are independent businesses. None of them is an employee, agent, partner or representative of ViTViT.
2.2 When you accept a ride or delivery, you contract directly with the Rider (and, for store orders, with the Store). You provide the transport service in your own name, under your own licence and at your own risk.
2.3 ViTViT's role is limited to: operating the apps, matching requests with available users, displaying prices, recording trips and orders, offering safety tools, and running a support channel. ViTViT does not control, direct or supervise how Riders, Stores and other users behave or perform, and does not guarantee their conduct, identity, skill, honesty, solvency, availability or the quality, safety or legality of what they provide.
2.4 Any verification, rating or review ViTViT carries out is a limited, voluntary step to help the marketplace. It is not a guarantee, an endorsement or a promise that any user is safe, qualified or trustworthy, and you must never rely on it as one.
3. What ViTViT answers for
3.1 ViTViT connects Riders, Drivers, Stores and Agents through its technology and is responsible only for the operation of the ViTViT system itself. ViTViT will sanction bad behaviour on its platform — warnings, suspensions, deactivation and reports to the authorities — but it declines all responsibility for anything outside its control, including the conduct of users and agents, cash handed between people, accidents, crime and events on the road or at any place a user goes.
4. Independent Driver — not an employee
4.1 You are an independent contractor running your own business. You are NOT an employee, worker, agent or representative of ViTViT. Nothing in these Terms creates an employment relationship. You are not entitled to salary, minimum wage, paid leave, overtime, severance, ONA or OFATMA contributions through ViTViT, or any other right reserved to employees under the Haitian Labour Code.
4.2 You alone decide whether and when to go online, which requests to accept or decline, and how many hours to work. You may use other apps and work for other businesses at the same time.
4.3 ViTViT does not guarantee any number of requests, any volume of work or any level of earnings. You use the platform to receive leads from Riders and Stores, and your income depends entirely on your own choices and on demand.
4.4 You provide and pay for your own vehicle (or one you lawfully operate), fuel, maintenance, repairs, phone, data, helmets and equipment, and you are solely responsible for your own taxes, patente, registrations and social contributions on your earnings.
4.5 You have no authority to bind ViTViT or to speak for it, and you must never present yourself as a ViTViT employee.
5. Eligibility, documents and legal compliance
5.1 To go online and for as long as you use the platform, you must be at least 18 years old and hold, valid and in your own name where applicable:
- a driver's licence of the correct category for your vehicle;
- your national identity card (CIN), and your NIF when requested;
- the vehicle's registration, plate and papers issued by the competent authorities (including the DGI);
- third-party liability insurance (OAVCT) and any other insurance required by Haitian law for your vehicle and for carrying passengers or goods;
- any permit or authorisation required by law or by the municipality for the transport activity you perform.
5.2 You warrant that every document and statement you give ViTViT is true, current and your own, and that your activity complies with the Road Code, municipal rules and all other laws that apply to it. You alone hold, and are responsible for obtaining, any transport authorisation. Operating without a required licence, registration or insurance is at your sole risk and is a serious incident under Article 14.
5.3 You must tell ViTViT within 24 hours if any document expires, is suspended or withdrawn, if you are involved in a crash, or if you are arrested or charged with any offence. ViTViT may ask for proof of documents, a recent police-record certificate or a vehicle inspection at any time, and may stop dispatch until you provide them.
5.4 ViTViT's verification is limited. ViTViT checks the documents you submit; it does not carry out criminal background checks unless it expressly says so, and no check is a guarantee to anyone.
6. Provisional period — three (3) months
6.1 The first three (3) months after your account is activated are a provisional period, without exception. During it, ViTViT evaluates your safety record, reliability, ratings and compliance, and may end your access at any time, with immediate effect and without compensation, subject only to paying out net earnings already accrued.
7. Vehicle, safety and driving standards
7.1 Every time you go online you confirm that you are fit to drive and that your vehicle is roadworthy and meets the standards of its class. In particular you must:
- obey the traffic laws of Haiti and drive at safe speeds;
- never drive under the influence of alcohol, drugs or medication that affects driving, or while exhausted;
- on M-vit (moto): carry and use two approved helmets — one for you, one for the passenger — and never carry more than one passenger;
- keep working lights, brakes, tyres, mirrors, horn and (for cars and vans) seat belts;
- only let the vehicle and account be used by you — never lend, share or sub-let your account;
- never carry more passengers or load than the vehicle and the law allow;
- never carry a firearm or other weapon while online, whatever permit you hold.
7.2 You are solely responsible for your driving, your vehicle, its condition, and all fines, penalties and consequences arising from them.
8. Fares, commission and platform fee
8.1 Fares are set by the platform (or agreed in the app where negotiation is offered) and shown to you and the Rider before the trip. All amounts are in Haitian gourdes (HTG).
8.2 ViTViT's service commission is twenty percent (20%) of the fare, unless the app shows a different rate. In addition, the Rider pays a flat platform fee of HTG 30 per booking, which belongs to ViTViT. ViTViT may change the commission or fees under Article 32; the rate that applies is the one shown in the app when you accept the trip.
8.3 Cash trips. You collect the exact total shown in the app from the Rider. You then owe ViTViT its commission and the platform fee, which the app records as commission debt. Cash you collect is carried at your own risk — its loss or theft does not reduce what you owe.
8.4 Commission debt limit. When your unpaid commission debt reaches HTG 500 (or the limit shown in the app), the platform stops sending you requests until you settle it through the methods the app offers. Deliberately avoiding commission is fraud.
8.5 No money in your bous, no requests. Where the app says so, ViTViT sends you a request only while your bous holds enough to cover what you already owe plus ViTViT's commission on that job. Jetons you bought from an agent count towards this — they pay commission and fees — but they are never paid out (Article 11).
8.6 Tips belong entirely to you; ViTViT takes no commission on tips. You must never ask a Rider for more than the amount shown in the app.
8.7 The trip summary in the app is the record of each trip's amounts. You may dispute a trip through support within seven (7) days; after that it is final.
9. Balance and payouts
9.1 Your earnings — amounts owed to you through the platform, for example on trips paid with a Rider's jetons — are credited to your balance and paid out on request, through the payout methods, minimum amounts and schedule shown in the app when they are offered, after ViTViT's review. You must keep your payout details correct; ViTViT is not liable for payments sent to details you provided.
9.2 Jetons you bought are not earnings: they stay in your bous for commission and fees and are never paid out.
9.3 ViTViT may deduct from your balance any commission debt, fees, amounts wrongly paid, and documented losses or refunds caused by your breach, and may hold payouts while an incident or suspected fraud is investigated.
10. ViTViT as limited payment collection agent
10.1 When a payment is made through the platform (for example with ViTViT jetons or by mobile money, when offered), ViTViT receives it only as the Driver's limited payment collection agent. Payment to ViTViT in this way is treated as payment made directly to the Driver. ViTViT is not a bank or a money-transfer business and is not liable for errors, delays, fees or failures of any bank, agent or mobile-money provider. This Article does not apply to the platform fee or to cancellation fees, which ViTViT receives for its own account.
11. ViTViT jetons — tokens, not money
11.1 What a jeton is. Money you hand over to add value to your account — through an authorised ViTViT agent, at a ViTViT office or in any other way the app offers — is converted into ViTViT jetons (tokens). A jeton is a digital usage token: it records that ViTViT has been paid for access to its system and that your account is eligible to use ViTViT services. Jetons are not money, not a bank deposit and not electronic money, and they earn no interest.
11.2 How they can be used. Jetons can be used only inside ViTViT, only by the account that holds them, for the services, fees, commissions and amounts owed shown in the app.
11.3 Not transferable, not refundable, not withdrawable. Jetons cannot be transferred, sold, given, lent, exchanged or converted into cash, cannot be withdrawn, and are not refundable, except as point 5 of this Article provides.
11.4 An account holding jetons or money cannot be deleted by you. While your account holds any jetons, earnings or any other money, the app will refuse to delete it and will ask you to use it up first. You may also ask ViTViT, in the app, to approve the deletion. To close an account that still holds jetons, call ViTViT support on +509 3131 3015: closing it then requires approval in ViTViT's administration system.
11.5 Reimbursement — office only. Jetons worth HTG 1,000 or less are never refunded: you must use them up. Where the jetons you purchased exceed HTG 1,000 when ViTViT approves the closure of your account, ViTViT may, at its sole discretion and only through its office, approve a reimbursement of all or part of those purchased jetons, after verifying your identity in person and deducting everything you owe. Bonus, promotional and agent-bonus jetons are never reimbursed. Jetons left on a closed account that are not reimbursed are forfeited.
11.6 Your earnings are different. Amounts ViTViT owes you for completed trips and deliveries are your earnings, not jetons, and are paid out as Article 9 says. Jetons you bought remain jetons and are never paid out, even when they are counted towards what you owe ViTViT.
11.7 Corrections. ViTViT may cancel or correct jetons obtained by fraud, error, reversal, a top-up the account holder did not confirm, or any breach of these Terms.
11.8 Breach. If you breach these Terms, ViTViT may suspend or close your account, or end its agreement with you, immediately, without your consent and without prior notice, as Article 30 provides. Jetons on an account closed for breach are forfeited.
12. Cancellations — no compensation to the Driver
12.1 If a Rider cancels a ride after the ride has been accepted on the ViTViT app but before you pick the Rider up, you cannot claim any money from ViTViT or from the Rider — no cancellation fee, compensation, fuel, time, distance or waiting payment of any kind.
12.2 The same applies when the Rider does not show up, when a delivery or store order is cancelled before pickup, or when ViTViT cancels a trip for safety, operational or technical reasons.
12.3 Any cancellation fee charged to a Rider belongs entirely to ViTViT. You have no right to any share of it, and you irrevocably waive any claim against ViTViT or the Rider for trips cancelled before pickup. If a Rider's unpaid cancellation fee is included in the total you collect on a later trip, you collect that amount only on ViTViT's behalf and owe all of it to ViTViT, in the same way as the commission and platform fee under Article 8.
12.4 You must never ask, pressure or collect any money from a Rider for a cancelled trip, directly or off the platform. Doing so is a serious incident under Article 14.
12.5 You may cancel an accepted trip only for a genuine reason, such as a real safety risk. Unjustified cancellations after acceptance, or accepting and then cancelling to choose better trips, may reduce your dispatch priority and lead to suspension.
13. Conduct — zero tolerance
13.1 You must treat every Rider, Store, agent and ViTViT staff member with respect. You must not:
- use violence, threats, intimidation, harassment, discrimination, or any sexual behaviour or contact with a Rider, even if consensual;
- contact a Rider or keep, copy or use their data for any purpose other than the active trip;
- take longer routes, add stops or passengers, or manipulate GPS, fares, trips, ratings or promotions;
- use fake GPS, automation or any tool that interferes with the app;
- arrange off-platform trips with Riders you met through ViTViT to avoid commission;
- open, tamper with or inspect sealed packages, food secure-boxes or store orders, other than as the law requires.
14. Immediate deactivation on serious incident
14.1 On any serious incident, ViTViT may immediately deactivate your account and terminate these Terms — without prior notice, waiting period or compensation beyond net earnings already accrued. This applies during and after the provisional period.
14.2 A serious incident includes, without limitation: any act endangering the safety of a person; driving under the influence; violence, threats, harassment or sexual misconduct; fraud of any kind; driving without a valid licence, registration or insurance; letting someone else use your account; carrying weapons; collecting money not due; tampering with goods; and misuse of personal data.
14.3 ViTViT may report serious incidents to the police and share trip and account records with competent authorities. Accrued earnings may be withheld to cover documented losses caused by the incident.
15. Ratings, quality and other suspensions
15.1 Riders and Stores may rate you. ViTViT may use ratings, cancellation and acceptance rates, complaints and other quality signals to decide your dispatch priority, level and access, and may suspend your account for expired documents, low ratings, excessive cancellations, a failed inspection or an open investigation until the issue is resolved.
16. Deliveries and goods in your care
16.1 When you accept a delivery you take custody of the goods and are responsible to the sender, Store or customer for their loss, theft or damage until delivery. ViTViT is not liable for any goods in transit.
16.2 You must deliver only to the correct recipient (using the delivery code where the app requires one), keep food in the secure-box, and refuse any package that appears illegal or dangerous.
17. Insurance — ViTViT provides none
17.1 ViTViT does not provide any insurance to you, your vehicle, your passengers, the goods you carry or third parties — no accident, health, life, disability, vehicle, liability or income cover. You must obtain at your own cost all insurance required by law, and any additional cover you consider appropriate.
17.2 ViTViT is not liable for any injury to you, damage to or theft of your vehicle, robbery of cash or property, or loss of earnings, whether caused by a Rider, a passenger, a Store, another road user, a criminal act or any other cause.
18. Driver and client modes
18.1 If you also use ViTViT as a client, you must go offline in the Chofè app first. Requesting or accepting your own trips, or any self-dealing between your two profiles, is fraud and a serious incident.
19. Security conditions and assumption of risk
19.1 You acknowledge that security conditions in Haiti can be dangerous and change quickly. Risks include, without limitation: armed violence, gang activity, kidnapping, robbery, carjacking, extortion, road blockades (“barikad”), demonstrations and civil unrest, poor road conditions, fuel shortages, flooding, hurricanes and earthquakes.
19.2 You use the platform voluntarily and entirely at your own risk. You alone decide whether, when, where and with whom to travel or trade. You knowingly accept all risks connected with driving and riding in traffic; road, traffic and vehicle accidents; the conduct of Riders, passengers, Stores and third parties; carrying goods whose contents you cannot inspect; and the condition of the places you are sent to.
19.3 ViTViT does not assess the safety of any route, neighbourhood, address, landmark or time of day, and a route suggested by the app is not a statement that it is safe. You are responsible for checking local conditions, following official advice, and refusing or ending any trip or order you consider unsafe.
19.4 ViTViT does not provide security, escorts, armed protection or police services, and has no ability to prevent crime or to intervene physically in any incident.
20. SOS and emergencies
20.1 The app includes an SOS button. When pressed, ViTViT records the event and your location, notifies the ViTViT operations team, and sends a message with a live-location link to the emergency contacts you have registered in the app.
20.2 SOS does not contact the police, an ambulance or any emergency service, and it is not an emergency service. In an emergency, call the police on 114 or the relevant emergency service directly. SOS depends on your phone, battery, GPS, mobile network, SMS delivery and third-party providers, any of which may fail, be delayed or be unavailable. ViTViT does not guarantee that an SOS alert will be sent, delivered, read or acted on, or that anyone will respond within any time.
20.3 Deliberate false or abusive SOS alerts are a serious breach of these Terms.
21. Third-party services
21.1 The platform relies on services ViTViT does not control — mobile networks, SMS and calling providers, maps and GPS, app stores, cloud hosting, and payment or mobile-money providers (such as MonCash or NatCash, when offered). ViTViT is not responsible for their availability, accuracy, fees, errors or security, and your use of them may be subject to their own terms.
21.2 Maps, routes, distances, arrival times and location pins are estimates and may be inaccurate.
22. Your data and privacy
22.1 ViTViT processes personal data as described in the Privacy Policy at govitvit.com/privacy, which forms part of these Terms. The Chofè app collects your location, including in the background, while you are online (punched in) so that trips can be dispatched, tracked and made safer. Trip GPS history is kept for ninety (90) days and then deleted.
22.2 You consent to ViTViT storing and processing your data on servers located outside Haiti (currently in the United States), and to ViTViT disclosing trip, order, account and location records to police, courts or other competent authorities when ViTViT believes in good faith that the law requires it, or that it is needed to protect the safety of any person or the rights of ViTViT.
22.3 Calls between users go through masked numbers. You must use other users' personal data only to complete the active trip or order, never copy, keep or share it, and never contact another user off the platform for any other purpose.
22.4 You can delete your account in the app or at govitvit.com/delete-account, except while it still holds jetons or other money, as Article 11 explains. Questions: privacy@govitvit.com.
23. Confidentiality
23.1 You must keep confidential all non-public information about the platform — dispatch, pricing, promotions, agents, security procedures and business plans — during your use of the platform and for five (5) years afterwards.
24. Disclaimer of warranties
24.1 The platform and all services are provided “as is” and “as available”, without any guarantee or warranty of any kind, express or implied, to the fullest extent permitted by Haitian law.
24.2 Without limitation, ViTViT does not guarantee: that the platform will be uninterrupted, timely, secure or error-free; that a Driver, Rider or Store will be available, accept a request or show up; the arrival time, route or duration of any trip or delivery; the quality, safety, legality, freshness, fitness or description of any goods; or that any earnings, sales or volume of work will be achieved.
24.3 ViTViT may change, suspend or discontinue any feature, service, city, vehicle category or payment method at any time, with or without notice.
25. Limitation of liability
25.1 To the maximum extent permitted by Haitian law, ViTViT, its shareholders, directors, officers, employees, agents, technology licensors and partners are not liable for any of the following, however caused:
- death, bodily injury, illness, emotional distress or any harm to a person;
- loss of, damage to or theft of any vehicle, goods, cash, phone, luggage or other property;
- any accident, collision, crime, assault, robbery, kidnapping, extortion, harassment or other incident occurring before, during or after a ride, delivery or order;
- any act, omission, negligence, fault, misrepresentation or crime of a Rider, Driver, Store, passenger or any third party;
- lost earnings, lost profits, lost sales, lost business opportunities, lost data or any indirect, incidental, special, punitive or consequential loss;
- delays, cancellations, failed pickups or deliveries, wrong addresses, or a user not showing up;
- outages, errors, bugs, inaccurate maps or prices, failed SMS, OTP or SOS messages, or unauthorised access to your account or device;
- events described in Article 29 (force majeure).
25.2 ViTViT's total liability to you for all claims together, of whatever nature, is limited to the greater of (a) the service commission and platform fees ViTViT actually received from the specific trip or delivery that gave rise to the claim, or (b) HTG 10,000. If more than one claim relates to the same event, this limit applies once, to all of them together.
25.3 Your remedy for the acts or omissions of another user lies only against that user (and their insurer), never against ViTViT. Riders are responsible for their conduct, belongings and the goods they send; Stores for the goods they sell.
25.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Haitian law, such as liability for ViTViT's own fraud (dol) or gross fault (faute lourde). In that case ViTViT's liability is limited to the fullest extent the law allows, and every other part of this Article continues to apply in full.
26. Disputes with other users — release
26.1 Any dispute you have with a Rider, a Store or another user — including about an accident, injury, damage, loss, theft, payment, price, goods or behaviour — is solely between you and that person. You release ViTViT and the persons listed in Article 25 from all claims, demands and damages of every kind, known and unknown, arising out of or connected with such disputes.
26.2 ViTViT may, at its sole discretion, help users resolve a dispute — for example by sharing trip records with a competent authority on a lawful request — but it has no obligation to do so, and any help it gives is not an admission of responsibility.
27. Indemnity
27.1 You agree to defend, indemnify and hold harmless ViTViT and the persons listed in Article 25 from and against all claims, actions, losses, liabilities, fines, penalties, damages, costs and expenses (including reasonable lawyers' fees) arising out of or related to: your use of the platform; your breach of these Terms or of any law; the transport and delivery services you perform; your driving, your vehicle and its condition; any injury, damage or loss suffered by a Rider, passenger or third party; your taxes, licences and insurance; and any dispute between you and another user.
28. Time limit to bring a claim
28.1 Any complaint must first be reported to ViTViT support within seven (7) days of the trip, delivery or order concerned. To the extent permitted by Haitian law, any claim against ViTViT must be filed within six (6) months after the event giving rise to it; after that, the claim is permanently barred.
29. Force majeure
29.1 ViTViT is not liable for any failure or delay caused by events beyond its reasonable control, including: armed violence, gang activity, kidnapping, riots, road blockades, strikes, political unrest, states of emergency, government orders, war, terrorism, fire, floods, hurricanes, earthquakes, epidemics, fuel shortages, power cuts, and failures of mobile networks, internet, SMS, payment providers, hosting or app stores.
30. Suspension and termination
30.1 ViTViT may suspend, restrict or permanently deactivate your account, refuse any request, or end these Terms and any arrangement with you, at any time, with immediate effect, without your consent and without prior notice or compensation, where ViTViT believes, in its reasonable judgment, that you have breached these Terms or the law, endangered or may endanger any person, committed or attempted fraud, harmed ViTViT's reputation, or for any other legitimate business reason. During any investigation, ViTViT may hold amounts connected with the conduct under review.
30.2 You may stop using the platform at any time, and delete your account under the conditions of Article 11. Deleting your account does not cancel amounts you owe, and the articles that by their nature should survive (including those on liability, release, indemnity, disputes and amounts owed) continue to apply after termination.
30.3 ViTViT is not liable to drivers or any third party for any suspension, deactivation or termination made in accordance with this Article.
31. Licence, intellectual property and app stores
31.1 ViTViT grants you a personal, revocable, non-exclusive, non-transferable licence to use the app on your own device only to use the platform as these Terms allow. The ViTViT name, logo, apps, website and content belong to ViTViT and its licensors. You must not copy, modify, reverse-engineer, scrape, resell or interfere with the platform, or use bots, fake GPS or other tools to manipulate it.
31.2 If you downloaded the app from the Apple App Store or Google Play, these Terms are between you and ViTViT only — not Apple or Google — who have no responsibility for the app, its content, maintenance, support or any claim relating to it. Apple and its subsidiaries are third-party beneficiaries of this Article and may enforce it. You must also comply with the app store's own terms.
32. Changes to these Terms
32.1 ViTViT may change these Terms at any time. Material changes will be announced in the app or at govitvit.com at least seven (7) days before they take effect (date shown DD/MM/YYYY), except where a change is required by law or for safety, which may take effect immediately. Continuing to use the platform after the effective date means you accept the new Terms. The app may require you to accept the new version before you can continue.
33. Signed Driver Partner Agreement
33.1 If you have also signed a written ViTViT Driver Partner Agreement (Kontra Chofè), both documents apply. Where they conflict, these Terms prevail on cancellations, insurance, assumption of risk, liability, release, indemnity and disputes, and the signed agreement prevails on any other point it specifically covers.
34. Governing law and dispute resolution
34.1 These Terms are governed by the laws of the Republic of Haiti.
34.2 Amicable resolution first. Before starting any proceeding, you must send a written complaint to support@govitvit.com describing the facts and what you are asking for, and allow ViTViT thirty (30) days to respond and try to resolve it.
34.3 Arbitration in Haiti. Any dispute not resolved amicably shall be finally settled by arbitration by a sole arbitrator under the rules of the Chambre de Conciliation et d'Arbitrage d'Haïti (CCAH) or, failing that, the arbitration provisions of the Haitian Code of Civil Procedure, seated in Les Cayes and conducted in French or Haitian Creole. For claims below HTG 100,000, ViTViT pays the administrative fees of the arbitration. The arbitrator may award only individual relief. Where arbitration is not permitted by law for a particular dispute, it falls to the exclusive jurisdiction of the competent courts of Les Cayes.
34.4 Individual claims only. To the extent permitted by law, every claim must be brought in your individual capacity, never as a plaintiff or member in any group, collective or representative action.
34.5 Nothing in this Article prevents ViTViT from seeking urgent protective measures (référé) from a competent court, or from recovering amounts owed to it.
35. General provisions
35.1 Language. These Terms were written in English and are published in English, French and Haitian Creole. The French and Haitian Creole versions are translations provided so every user can read the Terms in their language. If the versions differ, the English version prevails. The Privacy Policy has its own language clause, which applies to it.
35.2 Severability. If any provision is found invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions stay in full force.
35.3 Entire agreement; no waiver. These Terms are the entire agreement between you and ViTViT on their subject. ViTViT's failure or delay in enforcing a right is not a waiver of it.
35.4 Assignment. You may not transfer your rights or obligations. ViTViT may transfer these Terms, in whole or in part, to an affiliate, successor or acquirer without your consent.
35.5 Electronic communications and records. You agree to receive notices electronically (in the app, by SMS, e-mail or at govitvit.com). ViTViT's electronic records of trips, orders, payments, messages and your acceptance of these Terms are valid evidence.
35.6 No partnership. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between you and ViTViT.
