1. Acceptance of these Terms

1.1 These Terms of Service (the “Terms”) are a binding contract between you and [Legal name of the ViTViT operating company], a company organized under the laws of the Republic of Haiti, with registered office at [registered address], which operates the ViTViT platform (“ViTViT”, “we”, “us”). The ViTViT technology is provided under licence by Sprint Agility Pty Ltd; ViTViT is operated in Haiti by the company named above.

1.2 You must read and accept these Terms before you can use the ViTViT Boutik app. You accept them by tapping “I accept” (or an equivalent button) when the app presents them. You also accept them — and any later version — each time you use the platform. If you do not accept them in full, do not create an account and do not use the platform.

1.3 These Terms incorporate the ViTViT Privacy Policy, the community and safety rules published in the app or at govitvit.com, and any pricing, cancellation or fee information shown in the app at the time of a booking or order. Together they are the “Agreement”.

1.4 Please read the articles on the intermediary role, assumption of risk, disclaimers, limitation of liability, indemnity and disputes carefully. They limit ViTViT's responsibility to you and affect your legal rights.

1.5 Authority. If you accept these Terms for a business, you confirm that you are authorised to bind that business, and “you” and “Store” mean the business and each person who uses its account.

2. ViTViT is a technology intermediary only

2.1 ViTViT provides a technology platform that connects people. ViTViT does not provide transport, delivery or retail services, is not a transport company, carrier, courier, taxi operator, restaurant or shop, and does not own or operate any vehicle. Drivers are independent third parties; Stores are independent businesses. None of them is an employee, agent, partner or representative of ViTViT.

2.2 When a customer orders from you, the sale contract is formed directly between you and that customer. Delivery is performed by an independent Driver, not by ViTViT.

2.3 ViTViT's role is limited to: operating the apps, matching requests with available users, displaying prices, recording trips and orders, offering safety tools, and running a support channel. ViTViT does not control, direct or supervise how Riders, Drivers and other users behave or perform, and does not guarantee their conduct, identity, skill, honesty, solvency, availability or the quality, safety or legality of what they provide.

2.4 Any verification, rating or review ViTViT carries out is a limited, voluntary step to help the marketplace. It is not a guarantee, an endorsement or a promise that any user is safe, qualified or trustworthy, and you must never rely on it as one.

3. What ViTViT answers for

3.1 ViTViT connects Riders, Drivers, Stores and Agents through its technology and is responsible only for the operation of the ViTViT system itself. ViTViT will sanction bad behaviour on its platform — warnings, suspensions, deactivation and reports to the authorities — but it declines all responsibility for anything outside its control, including the conduct of users and agents, cash handed between people, accidents, crime and events on the road or at any place a user goes.

4. Independent business

4.1 You run an independent business. You are not an employee, agent, franchisee or partner of ViTViT, and you are solely responsible for your staff, premises, suppliers, stock and business decisions, including your prices.

4.2 ViTViT does not guarantee any number of orders, customers, sales or revenue.

5. Eligibility, documents and permits

5.1 To sell on ViTViT you must be a lawfully operating business and provide, keep valid and update when they change:

  • proof of business registration and the identity card (CIN) of the owner or legal representative;
  • a photo of your storefront or premises and accurate contact and location details;
  • your NIF and patente, and every permit, licence or health authorisation required for the products you sell (for example food, alcohol or medicines).

5.2 You warrant that all information and documents you provide are true, current and your own. ViTViT's review of your documents is limited and is not a certification that your business, products or premises comply with the law.

6. Provisional period — three (3) months

6.1 The first three (3) months after your store is activated are a provisional period, without exception. During it, ViTViT may end your access at any time, with immediate effect and without compensation, subject only to settling amounts already due to you.

7. Your catalogue, prices and taxes

7.1 You alone are responsible for your listings: names, descriptions, photos, ingredients, allergens, sizes, quantities, prices, options and availability. They must be accurate, complete, lawful and kept up to date. Remove any item that is out of stock.

7.2 You set your prices in Haitian gourdes (HTG) and must honour the price shown to the customer when the order was placed. You are solely responsible for all taxes on your sales (including TCA where applicable), for issuing any legally required receipts, and for your own tax filings.

8. Prohibited products

8.1 You must not list, sell or hand over through ViTViT:

  • weapons, ammunition, explosives, fireworks or hazardous materials;
  • drugs, controlled substances, or prescription medicines without the required licence and prescription;
  • alcohol or tobacco to anyone under 18, or without any required licence;
  • counterfeit, stolen, smuggled, expired, recalled or unsafe goods;
  • live animals, adult content, or anything else illegal in Haiti or that ViTViT prohibits by notice in the app.

8.2 ViTViT may remove any listing, cancel any order or suspend your store at any time if it believes a product breaches this Article.

9. Food and product safety

9.1 You are solely responsible for the quality, safety, hygiene, freshness, labelling and legality of everything you sell, and for preparing, storing and packaging it in accordance with the law and good practice.

9.2 Food must be prepared hygienically, packed in sealed, tamper-evident packaging suitable for transport by moto or car, and accurately labelled, including allergens. You are liable for any illness, allergic reaction, injury or damage caused by your products.

10. Orders and handover

10.1 You must accept or decline orders promptly, prepare them correctly and within the time shown in the app, and have them ready and sealed when the Driver arrives. Hand the order only to the assigned Driver, using the order code where the app requires one.

10.2 Delivery is performed by independent Drivers, not by ViTViT. Once an order is handed to the Driver, any loss, theft, damage or delay in transit is a matter between you, the Driver and the customer; ViTViT is not liable for it.

10.3 Customers may cancel an order free of charge in the app until you start preparing it. Once you mark it as being prepared, the customer can no longer cancel it in the app. ViTViT does not guarantee that any customer will receive or pay for an order, and is not liable for orders that are refused, abandoned or unpaid, except for amounts ViTViT has actually received for you under Article 13.

10.4 Any cancellation fee ViTViT charges a customer belongs entirely to ViTViT. You have no right to any share of it: it is not part of your revenue or your store balance, and it is not an amount ViTViT collects for you under Article 13. You irrevocably waive any claim against ViTViT or the customer to any part of it.

10.5 You must never ask, pressure or collect any cancellation charge, or any other money for a cancelled order, from a customer, directly or off the platform. Doing so is a serious incident under Article 17.

11. Commission and fees

11.1 ViTViT's commission on each order is shown in the Boutik app (as a percentage of the value of the goods, or as agreed in writing for your store). It is deducted from the amounts due to you or, where you or the Driver collect payment directly, owed by you to ViTViT.

11.2 Cash orders need jetons in your store bous. On a cash order, ViTViT's commission is taken from the jetons in your store bous. While your store bous cannot cover it, your store may not receive cash orders. You can add jetons through an authorised ViTViT agent or as the app shows; Article 14 explains how jetons work.

11.3 The customer also pays the delivery fare and the service or platform fee shown in the app; these belong to the Driver and to ViTViT and are not part of your revenue. ViTViT may change its commission and fees under Article 32; the rate that applies to an order is the one in force when the order is placed.

11.4 Unpaid amounts you owe ViTViT may be set off against any amount due to you, and ViTViT may pause your store until they are settled.

12. Settlement and payouts

12.1 Amounts due to you are shown in your store balance and paid out on request, through the payout methods, minimums, verification (such as OTP) and schedule shown in the app when they are offered, after deducting commission, refunds, adjustments and amounts you owe. Keep your payout details correct; ViTViT is not liable for payments sent to details you provided.

12.2 Jetons in your store bous are not earnings: they pay commission and fees and are never paid out.

12.3 ViTViT may hold payouts while a complaint, suspected fraud or incident is investigated.

13. ViTViT as limited payment collection agent

13.1 When a payment is made through the platform (for example with ViTViT jetons or by mobile money, when offered), ViTViT receives it only as the Store's limited payment collection agent. Payment to ViTViT in this way is treated as payment made directly to you. ViTViT is not a bank or a money-transfer business and is not liable for errors, delays, fees or failures of any bank, agent or mobile-money provider. This Article covers only amounts due to you for your goods. It does not apply to the platform fee, the delivery fare or any cancellation fee, none of which is paid to you.

14. ViTViT jetons — tokens, not money

14.1 What a jeton is. Money you hand over to add value to your account — through an authorised ViTViT agent, at a ViTViT office or in any other way the app offers — is converted into ViTViT jetons (tokens). A jeton is a digital usage token: it records that ViTViT has been paid for access to its system and that your account is eligible to use ViTViT services. Jetons are not money, not a bank deposit and not electronic money, and they earn no interest.

14.2 How they can be used. Jetons can be used only inside ViTViT, only by the account that holds them, for the services, fees, commissions and amounts owed shown in the app.

14.3 Not transferable, not refundable, not withdrawable. Jetons cannot be transferred, sold, given, lent, exchanged or converted into cash, cannot be withdrawn, and are not refundable, except as point 5 of this Article provides.

14.4 An account holding jetons or money cannot be deleted by you. While your account holds any jetons, earnings, store balance or any other money, the app will refuse to delete it and will ask you to use it up first. You may also ask ViTViT, in the app, to approve the deletion. To close an account that still holds jetons, call ViTViT support on +509 3131 3015: closing it then requires approval in ViTViT's administration system.

14.5 Reimbursement — office only. Jetons worth HTG 1,000 or less are never refunded: you must use them up. Where the jetons you purchased exceed HTG 1,000 when ViTViT approves the closure of your account, ViTViT may, at its sole discretion and only through its office, approve a reimbursement of all or part of those purchased jetons, after verifying your identity in person and deducting everything you owe. Bonus, promotional and agent-bonus jetons are never reimbursed. Jetons left on a closed account that are not reimbursed are forfeited.

14.6 Your earnings are different. Amounts ViTViT owes you for completed orders are your earnings, not jetons, and are paid out as Article 12 says. Jetons you bought remain jetons and are never paid out, even when they are counted towards what you owe ViTViT.

14.7 Corrections. ViTViT may cancel or correct jetons obtained by fraud, error, reversal, a top-up the account holder did not confirm, or any breach of these Terms.

14.8 Breach. If you breach these Terms, ViTViT may suspend or close your account, or end its agreement with you, immediately, without your consent and without prior notice, as Article 30 provides. Jetons on an account closed for breach are forfeited.

15. Customer complaints and refunds

15.1 ViTViT decides, at its sole discretion, whether to refund or credit a customer. Where a complaint is due to you — for example missing, wrong, damaged, unsafe, poor-quality or late-prepared items, or items not as described — the refunded amount is charged to you and deducted from your balance.

15.2 You may dispute a deduction through support within seven (7) days; after that it is final.

16. Conduct and customer data

16.1 You must treat customers, Drivers and ViTViT staff with respect. Violence, threats, harassment, discrimination, fraud, fake orders, manipulated ratings, and diverting ViTViT customers to off-platform orders to avoid commission are prohibited.

16.2 You may use customer names, numbers and addresses only to fulfil the order in question — never for marketing, never copied, kept or shared.

17. Immediate termination on serious incident

17.1 On any serious incident or material breach, ViTViT may immediately suspend your store and terminate these Terms — without prior notice, waiting period or compensation beyond amounts already due to you. This applies during and after the provisional period.

17.2 A serious incident includes, without limitation: selling prohibited, unsafe or contaminated products; any product causing illness or injury; fraud; false documents; violence, threats or harassment; misuse of customer data; and repeated failure to fulfil orders. ViTViT may report serious incidents to the competent authorities and withhold amounts to cover documented losses.

18. Your name, logo and content

18.1 You grant ViTViT a free, non-exclusive licence, for as long as your store is on the platform, to display and use your business name, logo, photos and listings in the apps, on govitvit.com and in ViTViT marketing. You warrant that you own or have the right to use this content and that it infringes no one's rights.

19. Insurance — ViTViT provides none

19.1 ViTViT provides no insurance for you, your premises, staff, stock, cash or products. You must maintain all insurance required by law, and any product-liability or other cover appropriate to your business, at your own cost.

20. Security conditions and assumption of risk

20.1 You acknowledge that security conditions in Haiti can be dangerous and change quickly. Risks include, without limitation: armed violence, gang activity, kidnapping, robbery, carjacking, extortion, road blockades (“barikad”), demonstrations and civil unrest, poor road conditions, fuel shortages, flooding, hurricanes and earthquakes.

20.2 You use the platform voluntarily and entirely at your own risk. You alone decide whether, when, where and with whom to travel or trade. You knowingly accept all risks connected with preparing and handing goods to independent Drivers; the conduct of Drivers, customers and third parties; theft, loss or damage of goods, cash and equipment; and the condition of your premises.

20.3 ViTViT does not assess the safety of any route, neighbourhood, address, landmark or time of day, and a route suggested by the app is not a statement that it is safe. You are responsible for checking local conditions, following official advice, and refusing or ending any trip or order you consider unsafe.

20.4 ViTViT does not provide security, escorts, armed protection or police services, and has no ability to prevent crime or to intervene physically in any incident.

21. Third-party services

21.1 The platform relies on services ViTViT does not control — mobile networks, SMS and calling providers, maps and GPS, app stores, cloud hosting, and payment or mobile-money providers (such as MonCash or NatCash, when offered). ViTViT is not responsible for their availability, accuracy, fees, errors or security, and your use of them may be subject to their own terms.

21.2 Maps, routes, distances, arrival times and location pins are estimates and may be inaccurate.

22. Your data and privacy

22.1 ViTViT processes personal data as described in the Privacy Policy at govitvit.com/privacy, which forms part of these Terms. The Boutik app uses your store location and order data to dispatch Drivers and track orders. Trip GPS history is kept for ninety (90) days and then deleted.

22.2 You consent to ViTViT storing and processing your data on servers located outside Haiti (currently in the United States), and to ViTViT disclosing trip, order, account and location records to police, courts or other competent authorities when ViTViT believes in good faith that the law requires it, or that it is needed to protect the safety of any person or the rights of ViTViT.

22.3 Calls between users go through masked numbers. You must use other users' personal data only to complete the active trip or order, never copy, keep or share it, and never contact another user off the platform for any other purpose.

22.4 You can delete your account in the app or at govitvit.com/delete-account, except while it still holds jetons or other money, as Article 14 explains. Questions: privacy@govitvit.com.

23. Confidentiality

23.1 You must keep confidential all non-public information about the platform, its pricing, commission terms and customers, during your use of the platform and for five (5) years afterwards.

24. Disclaimer of warranties

24.1 The platform and all services are provided “as is” and “as available”, without any guarantee or warranty of any kind, express or implied, to the fullest extent permitted by Haitian law.

24.2 Without limitation, ViTViT does not guarantee: that the platform will be uninterrupted, timely, secure or error-free; that a Driver, Rider or Store will be available, accept a request or show up; the arrival time, route or duration of any trip or delivery; the quality, safety, legality, freshness, fitness or description of any goods; or that any earnings, sales or volume of work will be achieved.

24.3 ViTViT may change, suspend or discontinue any feature, service, city, vehicle category or payment method at any time, with or without notice.

25. Limitation of liability

25.1 To the maximum extent permitted by Haitian law, ViTViT, its shareholders, directors, officers, employees, agents, technology licensors and partners are not liable for any of the following, however caused:

  • death, bodily injury, illness, emotional distress or any harm to a person;
  • loss of, damage to or theft of any vehicle, goods, cash, phone, luggage or other property;
  • any accident, collision, crime, assault, robbery, kidnapping, extortion, harassment or other incident occurring before, during or after a ride, delivery or order;
  • any act, omission, negligence, fault, misrepresentation or crime of a Rider, Driver, Store, passenger or any third party;
  • lost earnings, lost profits, lost sales, lost business opportunities, lost data or any indirect, incidental, special, punitive or consequential loss;
  • delays, cancellations, failed pickups or deliveries, wrong addresses, or a user not showing up;
  • outages, errors, bugs, inaccurate maps or prices, failed SMS, OTP or SOS messages, or unauthorised access to your account or device;
  • events described in Article 29 (force majeure).

25.2 ViTViT's total liability to you for all claims together, of whatever nature, is limited to the greater of (a) the commission ViTViT actually received from the specific order that gave rise to the claim, or (b) HTG 10,000. If more than one claim relates to the same event, this limit applies once, to all of them together.

25.3 Your remedy for the acts or omissions of another user lies only against that user (and their insurer), never against ViTViT. Drivers are responsible for the transport they provide and customers for their own conduct.

25.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Haitian law, such as liability for ViTViT's own fraud (dol) or gross fault (faute lourde). In that case ViTViT's liability is limited to the fullest extent the law allows, and every other part of this Article continues to apply in full.

26. Disputes with other users — release

26.1 Any dispute you have with a customer, a Driver or another user — including about an accident, injury, damage, loss, theft, payment, price, goods or behaviour — is solely between you and that person. You release ViTViT and the persons listed in Article 25 from all claims, demands and damages of every kind, known and unknown, arising out of or connected with such disputes.

26.2 ViTViT may, at its sole discretion, help users resolve a dispute — for example by sharing trip records with a competent authority on a lawful request — but it has no obligation to do so, and any help it gives is not an admission of responsibility.

27. Indemnity

27.1 You agree to defend, indemnify and hold harmless ViTViT and the persons listed in Article 25 from and against all claims, actions, losses, liabilities, fines, penalties, damages, costs and expenses (including reasonable lawyers' fees) arising out of or related to: your use of the platform; your breach of these Terms or of any law; the goods you sell and their description, quality, safety, legality, labelling and packaging; any illness, allergic reaction or injury they cause; your taxes, licences, permits and employees; and any dispute between you and another user.

28. Time limit to bring a claim

28.1 Any complaint must first be reported to ViTViT support within seven (7) days of the trip, delivery or order concerned. To the extent permitted by Haitian law, any claim against ViTViT must be filed within six (6) months after the event giving rise to it; after that, the claim is permanently barred.

29. Force majeure

29.1 ViTViT is not liable for any failure or delay caused by events beyond its reasonable control, including: armed violence, gang activity, kidnapping, riots, road blockades, strikes, political unrest, states of emergency, government orders, war, terrorism, fire, floods, hurricanes, earthquakes, epidemics, fuel shortages, power cuts, and failures of mobile networks, internet, SMS, payment providers, hosting or app stores.

30. Suspension and termination

30.1 ViTViT may suspend, restrict or permanently deactivate your account, refuse any request, or end these Terms and any arrangement with you, at any time, with immediate effect, without your consent and without prior notice or compensation, where ViTViT believes, in its reasonable judgment, that you have breached these Terms or the law, endangered or may endanger any person, committed or attempted fraud, harmed ViTViT's reputation, or for any other legitimate business reason. During any investigation, ViTViT may hold amounts connected with the conduct under review.

30.2 You may stop using the platform at any time, and delete your account under the conditions of Article 14. Deleting your account does not cancel amounts you owe, and the articles that by their nature should survive (including those on liability, release, indemnity, disputes and amounts owed) continue to apply after termination.

30.3 ViTViT is not liable to stores or any third party for any suspension, deactivation or termination made in accordance with this Article.

31. Licence, intellectual property and app stores

31.1 ViTViT grants you a personal, revocable, non-exclusive, non-transferable licence to use the app on your own device only to use the platform as these Terms allow. The ViTViT name, logo, apps, website and content belong to ViTViT and its licensors. You must not copy, modify, reverse-engineer, scrape, resell or interfere with the platform, or use bots, fake GPS or other tools to manipulate it.

31.2 If you downloaded the app from the Apple App Store or Google Play, these Terms are between you and ViTViT only — not Apple or Google — who have no responsibility for the app, its content, maintenance, support or any claim relating to it. Apple and its subsidiaries are third-party beneficiaries of this Article and may enforce it. You must also comply with the app store's own terms.

32. Changes to these Terms

32.1 ViTViT may change these Terms at any time. Material changes will be announced in the app or at govitvit.com at least seven (7) days before they take effect (date shown DD/MM/YYYY), except where a change is required by law or for safety, which may take effect immediately. Continuing to use the platform after the effective date means you accept the new Terms. The app may require you to accept the new version before you can continue.

33. Governing law and dispute resolution

33.1 These Terms are governed by the laws of the Republic of Haiti.

33.2 Amicable resolution first. Before starting any proceeding, you must send a written complaint to support@govitvit.com describing the facts and what you are asking for, and allow ViTViT thirty (30) days to respond and try to resolve it.

33.3 Arbitration in Haiti. Any dispute not resolved amicably shall be finally settled by arbitration by a sole arbitrator under the rules of the Chambre de Conciliation et d'Arbitrage d'Haïti (CCAH) or, failing that, the arbitration provisions of the Haitian Code of Civil Procedure, seated in Les Cayes and conducted in French or Haitian Creole. For claims below HTG 100,000, ViTViT pays the administrative fees of the arbitration. The arbitrator may award only individual relief. Where arbitration is not permitted by law for a particular dispute, it falls to the exclusive jurisdiction of the competent courts of Les Cayes.

33.4 Individual claims only. To the extent permitted by law, every claim must be brought in your individual capacity, never as a plaintiff or member in any group, collective or representative action.

33.5 Nothing in this Article prevents ViTViT from seeking urgent protective measures (référé) from a competent court, or from recovering amounts owed to it.

34. General provisions

34.1 Language. These Terms were written in English and are published in English, French and Haitian Creole. The French and Haitian Creole versions are translations provided so every user can read the Terms in their language. If the versions differ, the English version prevails. The Privacy Policy has its own language clause, which applies to it.

34.2 Severability. If any provision is found invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions stay in full force.

34.3 Entire agreement; no waiver. These Terms are the entire agreement between you and ViTViT on their subject. ViTViT's failure or delay in enforcing a right is not a waiver of it.

34.4 Assignment. You may not transfer your rights or obligations. ViTViT may transfer these Terms, in whole or in part, to an affiliate, successor or acquirer without your consent.

34.5 Electronic communications and records. You agree to receive notices electronically (in the app, by SMS, e-mail or at govitvit.com). ViTViT's electronic records of trips, orders, payments, messages and your acceptance of these Terms are valid evidence.

34.6 No partnership. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between you and ViTViT.

35. Contact
