1. Acceptance of these Terms

1.1 These Terms of Service (the “Terms”) are a binding contract between you and [Legal name of the ViTViT operating company], a company organized under the laws of the Republic of Haiti, with registered office at [registered address], which operates the ViTViT platform (“ViTViT”, “we”, “us”). The ViTViT technology is provided under licence by Sprint Agility Pty Ltd; ViTViT is operated in Haiti by the company named above.

1.2 You must read and accept these Terms before you can use the ViTViT agent portal (agent.govitvit.com). You accept them by tapping “I accept” (or an equivalent button) when the app presents them. You also accept them — and any later version — each time you use the platform. If you do not accept them in full, do not create an account and do not use the platform.

1.3 These Terms incorporate the ViTViT Privacy Policy, the community and safety rules published in the app or at govitvit.com, and any pricing, cancellation or fee information shown in the app at the time of a booking or order. Together they are the “Agreement”.

1.4 Please read the articles on the intermediary role, assumption of risk, disclaimers, limitation of liability, indemnity and disputes carefully. They limit ViTViT's responsibility to you and affect your legal rights.

2. ViTViT is a technology intermediary only

2.1 ViTViT provides a technology platform that connects people. ViTViT does not provide transport, delivery or retail services, is not a transport company, carrier, courier, taxi operator, restaurant or shop, and does not own or operate any vehicle. Drivers are independent third parties; Stores are independent businesses. None of them is an employee, agent, partner or representative of ViTViT.

2.2 When you top up an account, you deal with that person in your own name: the cash they hand you is a transaction between you and them. You are an authorised reseller of ViTViT jetons, not ViTViT's employee, branch, cashier or legal representative (mandataire).

2.3 ViTViT's role is limited to: operating the apps, matching requests with available users, displaying prices, recording trips and orders, offering safety tools, and running a support channel. ViTViT does not control, direct or supervise how Riders, Drivers, Stores and other users behave or perform, and does not guarantee their conduct, identity, skill, honesty, solvency, availability or the quality, safety or legality of what they provide.

2.4 Any verification, rating or review ViTViT carries out is a limited, voluntary step to help the marketplace. It is not a guarantee, an endorsement or a promise that any user is safe, qualified or trustworthy, and you must never rely on it as one.

3. What ViTViT answers for

3.1 ViTViT connects Riders, Drivers, Stores and Agents through its technology and is responsible only for the operation of the ViTViT system itself. ViTViT will sanction bad behaviour on its platform — warnings, suspensions, deactivation and reports to the authorities — but it declines all responsibility for anything outside its control, including the conduct of users and agents, cash handed between people, accidents, crime and events on the road or at any place a user goes.

4. Independent reseller — not an employee

4.1 You run your own business. You are NOT an employee, worker, branch, cashier, legal representative (mandataire) or partner of ViTViT. You are not entitled to a salary, minimum wage, leave, severance, ONA or OFATMA contributions through ViTViT, or any other employee right under the Haitian Labour Code.

4.2 ViTViT guarantees no income, no number of customers and no volume of top-ups. What you keep depends entirely on the top-ups you complete. The program pays nothing for recruiting other agents or customers.

4.3 You choose your hours and may run any other lawful business. You provide and pay for your own premises, phone, data, staff and security, and you are solely responsible for your taxes, patente and registrations, including on the bonus you receive.

4.4 You have no authority to sign, promise or speak for ViTViT, and you must never present yourself as ViTViT staff.

5. Eligibility, application and approval

5.1 To apply and for as long as you are an agent, you must be at least eighteen (18) years old and hold, valid and in your own name: your national identity card (CIN), your NIF when requested, a fixed place of business in a city where ViTViT operates, and a phone number able to use MonCash or NatCash.

5.2 You apply through the form at govitvit.com/ajan or by calling ViTViT support. Every statement and document you give ViTViT must be true and your own. ViTViT approves or refuses any application at its sole discretion and does not have to give reasons.

5.3 ViTViT may ask at any time to re-verify your identity, documents and premises, and may stop your float or top-ups until you comply.

6. Provisional period — three (3) months

6.1 The first three (3) months after your agent account is activated are a provisional period, without exception. During it, ViTViT may end your agent status at any time, with immediate effect and without compensation.

7. Float and the 10% bonus

7.1 Float is the stock of ViTViT jetons you hold to top up other people's accounts. You buy float by paying ViTViT through the methods the agent portal shows (for example MonCash or NatCash) and entering the payment reference in the portal. Float is credited only after ViTViT has received and confirmed your payment.

7.2 Bonus. Each time ViTViT confirms a paid float purchase, it adds a bonus of ten percent (10%) of the amount you paid, unless the agent portal shows a different rate. Example: you pay HTG 1,000 and receive HTG 1,100 of float. The bonus is promotional: ViTViT may change or end it with at least seven (7) days' notice in the portal. No bonus is given on corrections or credits made by ViTViT staff.

7.3 The bonus is your only remuneration from the program. ViTViT takes no fee or commission on your top-ups.

7.4 ViTViT may cancel bonus jetons, and recover float, that came from a payment that was reversed, not received, made by fraud, or connected with any breach of these Terms.

7.5 Your float, bonus included, can never exceed HTG 50,000 at any time (or a lower limit shown in the portal). A purchase that would take your float above the limit is refused. ViTViT may change limits at any time.

7.6 Float is jetons: not money, not transferable, not refundable — except that ViTViT's office may, at its sole discretion, reimburse all or part of purchased jetons above HTG 1,000 when an account is closed with admin approval (Article 16.5); bonus jetons are never reimbursed. The rules of Article 16 apply to your float as to any account.

8. Top-ups — face value only

8.1 You may top up the account of any Rider, Driver or Store, but never your own account or one you control.

8.2 The customer pays you exactly the amount you credit — nothing more. You must never charge a fee, a commission, a rounding or any other surcharge, and never credit less than you were paid.

8.3 You enter the customer's phone number and the amount in the agent portal. The credit reaches the customer only after they confirm it in their own ViTViT app; until they confirm, your float is not touched, and ViTViT may cancel a request that stays unconfirmed. Never take a customer's phone, PIN or one-time code to confirm for them.

8.4 Each top-up is limited (currently HTG 10,000 per top-up and HTG 50,000 per day, or the limits shown in the portal). ViTViT may refuse, hold or reverse any top-up it considers suspicious.

8.5 A confirmed top-up is final. Mistakes you make (wrong number, wrong amount) are your responsibility; ViTViT may help but does not have to reverse them.

9. Cash is your responsibility

9.1 All cash you receive, hold, carry or lose is at your sole risk, including theft, robbery, extortion, counterfeit notes and disputes with customers. ViTViT is not liable for any of it, and a loss of cash never reduces anything you owe ViTViT.

9.2 Keep cash secure and limited, follow the safety advice ViTViT gives, and report any incident to the police and to ViTViT support.

10. Customer disputes and suspension

10.1 When a customer refuses a top-up request, it is recorded as a dispute against your account. Three (3) disputes lead to automatic suspension while ViTViT reviews them. ViTViT may contact the customer and decide disputes at its sole discretion.

11. Identity, limits and compliance

11.1 ViTViT may set and change limits, ask for information about any transaction, refuse or reverse any top-up, and report suspicious activity to the competent authorities. You must cooperate with any lawful request and must not split transactions to avoid a limit.

12. Conduct and customer data

12.1 You must treat customers, Drivers, Stores and ViTViT staff with respect. You may use a customer's phone number and name only to complete the top-up they asked for — never for marketing, never copied, kept or shared.

13. Immediate termination on serious incident

13.1 On any serious incident, ViTViT may immediately suspend your agent account and terminate these Terms — without your consent, prior notice, waiting period or compensation. This applies during and after the provisional period.

13.2 A serious incident includes, without limitation: charging a customer more than the amount credited or crediting less; topping up your own account or one you control; confirming a top-up for a customer; fraud or false documents; misuse of customer data; violence, threats or harassment; three disputes; and any act that endangers a person or ViTViT's reputation. Jetons, float and bonus connected with the incident may be cancelled or withheld to cover documented losses.

14. ViTViT name and materials

14.1 While you are an approved agent you may display the “ViTViT agent” materials ViTViT gives you, only at your registered place of business. You must not create your own ViTViT materials, and you must remove all of them when your agent status ends.

15. Insurance — ViTViT provides none

15.1 ViTViT provides no insurance for you, your premises, staff, cash or float. Any cover you want is your own responsibility and cost.

16. ViTViT jetons — tokens, not money

16.1 What a jeton is. Money you hand over to add value to your account — through an authorised ViTViT agent, at a ViTViT office or in any other way the app offers — is converted into ViTViT jetons (tokens). A jeton is a digital usage token: it records that ViTViT has been paid for access to its system and that your account is eligible to use ViTViT services. Jetons are not money, not a bank deposit and not electronic money, and they earn no interest.

16.2 How they can be used. Float jetons can be used only to top up the accounts of Riders, Drivers and Stores through the agent portal, as the Agent Terms allow. Jetons you hold as a user of another ViTViT app follow that app's Terms.

16.3 Not transferable, not refundable, not withdrawable. Jetons cannot be transferred, sold, given, lent, exchanged or converted into cash, cannot be withdrawn, and are not refundable, except as point 5 of this Article provides.

16.4 An account holding jetons or money cannot be deleted by you. While your account holds any jetons, earnings, float, float awaiting confirmation or any other money, the app will refuse to delete it and will ask you to use it up first. You may also ask ViTViT, in the app, to approve the deletion. To close an account that still holds jetons, call ViTViT support on +509 3131 3015: closing it then requires approval in ViTViT's administration system.

16.5 Reimbursement — office only. Jetons worth HTG 1,000 or less are never refunded: you must use them up. Where the jetons you purchased exceed HTG 1,000 when ViTViT approves the closure of your account, ViTViT may, at its sole discretion and only through its office, approve a reimbursement of all or part of those purchased jetons, after verifying your identity in person and deducting everything you owe. Bonus, promotional and agent-bonus jetons are never reimbursed. Jetons left on a closed account that are not reimbursed are forfeited.

16.6 Corrections. ViTViT may cancel or correct jetons obtained by fraud, error, reversal, a top-up the account holder did not confirm, or any breach of these Terms.

16.7 Breach. If you breach these Terms, ViTViT may suspend or close your account, or end its agreement with you, immediately, without your consent and without prior notice, as Article 27 provides. Jetons on an account closed for breach are forfeited.

17. Security conditions and assumption of risk

17.1 You acknowledge that security conditions in Haiti can be dangerous and change quickly. Risks include, without limitation: armed violence, gang activity, kidnapping, robbery, carjacking, extortion, road blockades (“barikad”), demonstrations and civil unrest, poor road conditions, fuel shortages, flooding, hurricanes and earthquakes.

17.2 You use the platform voluntarily and entirely at your own risk. You alone decide whether, when, where and with whom to travel or trade. You knowingly accept all risks connected with receiving, holding and carrying cash; robbery, theft, extortion and counterfeit notes; the conduct of customers and third parties; and the condition of your premises.

17.3 ViTViT does not assess the safety of any route, neighbourhood, address, landmark or time of day, and a route suggested by the app is not a statement that it is safe. You are responsible for checking local conditions, following official advice, and refusing or ending any trip or order you consider unsafe.

17.4 ViTViT does not provide security, escorts, armed protection or police services, and has no ability to prevent crime or to intervene physically in any incident.

18. Third-party services

18.1 The platform relies on services ViTViT does not control — mobile networks, SMS and calling providers, maps and GPS, app stores, cloud hosting, and payment or mobile-money providers (such as MonCash or NatCash, when offered). ViTViT is not responsible for their availability, accuracy, fees, errors or security, and your use of them may be subject to their own terms.

18.2 Maps, routes, distances, arrival times and location pins are estimates and may be inaccurate.

19. Your data and privacy

19.1 ViTViT processes personal data as described in the Privacy Policy at govitvit.com/privacy, which forms part of these Terms. The agent portal uses your business name, neighbourhood and city to show customers where to find an agent, and records every float purchase and top-up you make; it does not track your location. Those records are financial records and are kept for as long as the law requires.

19.2 You consent to ViTViT storing and processing your data on servers located outside Haiti (currently in the United States), and to ViTViT disclosing trip, order, account and location records to police, courts or other competent authorities when ViTViT believes in good faith that the law requires it, or that it is needed to protect the safety of any person or the rights of ViTViT.

19.3 Calls between users go through masked numbers. You must use other users' personal data only to complete the active trip or order, never copy, keep or share it, and never contact another user off the platform for any other purpose.

19.4 You can delete your account in the app or at govitvit.com/delete-account, except while it still holds jetons or other money, as Article 16 explains. Questions: privacy@govitvit.com.

20. Confidentiality

20.1 You must keep confidential all non-public information about the platform, its limits, security procedures and customers, during your agent status and for five (5) years afterwards.

21. Disclaimer of warranties

21.1 The platform and all services are provided “as is” and “as available”, without any guarantee or warranty of any kind, express or implied, to the fullest extent permitted by Haitian law.

21.2 Without limitation, ViTViT does not guarantee: that the platform will be uninterrupted, timely, secure or error-free; that a Driver, Rider or Store will be available, accept a request or show up; the arrival time, route or duration of any trip or delivery; the quality, safety, legality, freshness, fitness or description of any goods; or that any earnings, sales or volume of work will be achieved.

21.3 ViTViT may change, suspend or discontinue any feature, service, city, vehicle category or payment method at any time, with or without notice.

22. Limitation of liability

22.1 To the maximum extent permitted by Haitian law, ViTViT, its shareholders, directors, officers, employees, agents, technology licensors and partners are not liable for any of the following, however caused:

  • death, bodily injury, illness, emotional distress or any harm to a person;
  • loss of, damage to or theft of any vehicle, goods, cash, phone, luggage or other property;
  • any accident, collision, crime, assault, robbery, kidnapping, extortion, harassment or other incident occurring before, during or after a ride, delivery or order;
  • any act, omission, negligence, fault, misrepresentation or crime of a Rider, Driver, Store, passenger or any third party;
  • lost earnings, lost profits, lost sales, lost business opportunities, lost data or any indirect, incidental, special, punitive or consequential loss;
  • delays, cancellations, failed pickups or deliveries, wrong addresses, or a user not showing up;
  • outages, errors, bugs, inaccurate maps or prices, failed SMS, OTP or SOS messages, or unauthorised access to your account or device;
  • events described in Article 26 (force majeure).

22.2 ViTViT's total liability to you for all claims together, of whatever nature, is limited to the greater of (a) the amount ViTViT actually received from you for the specific float purchase that gave rise to the claim, excluding any bonus jetons, or (b) HTG 10,000. If more than one claim relates to the same event, this limit applies once, to all of them together.

22.3 Your remedy for the acts or omissions of another user lies only against that user (and their insurer), never against ViTViT. Customers are responsible for their own conduct and the cash they hand you.

22.4 Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under Haitian law, such as liability for ViTViT's own fraud (dol) or gross fault (faute lourde). In that case ViTViT's liability is limited to the fullest extent the law allows, and every other part of this Article continues to apply in full.

23. Disputes with other users — release

23.1 Any dispute you have with a customer, a Rider, a Driver, a Store or another user — including about an accident, injury, damage, loss, theft, payment, price, goods or behaviour — is solely between you and that person. You release ViTViT and the persons listed in Article 22 from all claims, demands and damages of every kind, known and unknown, arising out of or connected with such disputes.

23.2 ViTViT may, at its sole discretion, help users resolve a dispute — for example by sharing trip records with a competent authority on a lawful request — but it has no obligation to do so, and any help it gives is not an admission of responsibility.

24. Indemnity

24.1 You agree to defend, indemnify and hold harmless ViTViT and the persons listed in Article 22 from and against all claims, actions, losses, liabilities, fines, penalties, damages, costs and expenses (including reasonable lawyers' fees) arising out of or related to: your use of the platform; your breach of these Terms or of any law; the cash you receive, hold or lose; any top-up you make, refuse or get wrong; any amount you charge a customer; your premises, staff and taxes; and any dispute between you and another user.

25. Time limit to bring a claim

25.1 Any complaint must first be reported to ViTViT support within seven (7) days of the float purchase, top-up or other event concerned. To the extent permitted by Haitian law, any claim against ViTViT must be filed within six (6) months after the event giving rise to it; after that, the claim is permanently barred.

26. Force majeure

26.1 ViTViT is not liable for any failure or delay caused by events beyond its reasonable control, including: armed violence, gang activity, kidnapping, riots, road blockades, strikes, political unrest, states of emergency, government orders, war, terrorism, fire, floods, hurricanes, earthquakes, epidemics, fuel shortages, power cuts, and failures of mobile networks, internet, SMS, payment providers, hosting or app stores.

27. Suspension and termination

27.1 ViTViT may suspend, restrict or permanently deactivate your account, refuse any request, or end these Terms and any arrangement with you, at any time, with immediate effect, without your consent and without prior notice or compensation, where ViTViT believes, in its reasonable judgment, that you have breached these Terms or the law, endangered or may endanger any person, committed or attempted fraud, harmed ViTViT's reputation, or for any other legitimate business reason. During any investigation, ViTViT may hold amounts connected with the conduct under review.

27.2 You may stop using the platform at any time, and delete your account under the conditions of Article 16. Deleting your account does not cancel amounts you owe, and the articles that by their nature should survive (including those on liability, release, indemnity, disputes and amounts owed) continue to apply after termination.

27.3 ViTViT is not liable to agents or any third party for any suspension, deactivation or termination made in accordance with this Article.

28. Licence, intellectual property and app stores

28.1 ViTViT grants you a personal, revocable, non-exclusive, non-transferable licence to use the app on your own device only to use the platform as these Terms allow. The ViTViT name, logo, apps, website and content belong to ViTViT and its licensors. You must not copy, modify, reverse-engineer, scrape, resell or interfere with the platform, or use bots, fake GPS or other tools to manipulate it.

28.2 If you downloaded the app from the Apple App Store or Google Play, these Terms are between you and ViTViT only — not Apple or Google — who have no responsibility for the app, its content, maintenance, support or any claim relating to it. Apple and its subsidiaries are third-party beneficiaries of this Article and may enforce it. You must also comply with the app store's own terms.

29. Changes to these Terms

29.1 ViTViT may change these Terms at any time. Material changes will be announced in the app or at govitvit.com at least seven (7) days before they take effect (date shown DD/MM/YYYY), except where a change is required by law or for safety, which may take effect immediately. Continuing to use the platform after the effective date means you accept the new Terms. The app may require you to accept the new version before you can continue.

30. Governing law and dispute resolution

30.1 These Terms are governed by the laws of the Republic of Haiti.

30.2 Amicable resolution first. Before starting any proceeding, you must send a written complaint to support@govitvit.com describing the facts and what you are asking for, and allow ViTViT thirty (30) days to respond and try to resolve it.

30.3 Arbitration in Haiti. Any dispute not resolved amicably shall be finally settled by arbitration by a sole arbitrator under the rules of the Chambre de Conciliation et d'Arbitrage d'Haïti (CCAH) or, failing that, the arbitration provisions of the Haitian Code of Civil Procedure, seated in Les Cayes and conducted in French or Haitian Creole. For claims below HTG 100,000, ViTViT pays the administrative fees of the arbitration. The arbitrator may award only individual relief. Where arbitration is not permitted by law for a particular dispute, it falls to the exclusive jurisdiction of the competent courts of Les Cayes.

30.4 Individual claims only. To the extent permitted by law, every claim must be brought in your individual capacity, never as a plaintiff or member in any group, collective or representative action.

30.5 Nothing in this Article prevents ViTViT from seeking urgent protective measures (référé) from a competent court, or from recovering amounts owed to it.

31. General provisions

31.1 Language. These Terms were written in English and are published in English, French and Haitian Creole. The French and Haitian Creole versions are translations provided so every user can read the Terms in their language. If the versions differ, the English version prevails. The Privacy Policy has its own language clause, which applies to it.

31.2 Severability. If any provision is found invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions stay in full force.

31.3 Entire agreement; no waiver. These Terms are the entire agreement between you and ViTViT on their subject. ViTViT's failure or delay in enforcing a right is not a waiver of it.

31.4 Assignment. You may not transfer your rights or obligations. ViTViT may transfer these Terms, in whole or in part, to an affiliate, successor or acquirer without your consent.

31.5 Electronic communications and records. You agree to receive notices electronically (in the app, by SMS, e-mail or at govitvit.com). ViTViT's electronic records of trips, orders, payments, messages and your acceptance of these Terms are valid evidence.

31.6 No partnership. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between you and ViTViT.
